Terms of Use

BINDING AGREEMENT. These Terms of Use serve as a legally enforceable agreement (“Agreement”) between you and Happy Sounds Like (“us”, “we”, or “our”). By using this site (the “Site”), you accept constructive notice of these Terms of Use and your consent to be governed by the language included herein.

PRIVACY POLICY. We believe in being transparent and open about our privacy and information-gathering policies, so we’ve published a Privacy Policy for your review.

GOVERNING LAW. These Terms shall be considered and controlled in accordance with the law of the United Kingdom, without respect to conflicts of law rules. You irrevocably consent to the exclusive jurisdiction of the courts in the United Kingdom, in any matters arising out of or related to your use of the Site or all these Terms of Use.

AGE. The Site is solely for users who are at least 18 years old. Users under the age of 18 are not permitted to use the Site.

USER CONTENT. You give us permission to use the materials you post on the Site. By posting, downloading, displaying, performing, transferring, and or distributing information or other content (“User Content”), you grant us, our affiliates, officers, managers, staff members, consultants, agencies, and representatives a license to use the User Content in relation to the operation of our business, including a right to copy, distribute, transfer, publicly display, publicly perform, reproduce, edit, translate, and reformat the User Content. There will be no remuneration for any User Content. You accept that your name may be published or otherwise disclosed in connection with your User Content. You accept not to upload, download, display, perform, transmit, or otherwise disseminate to the Site any Content that is (a) libelous, defamatory, obscene, pornographic, harassing, or threatening; (b) promote or promotes behavior that might constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; or (c) advertises or otherwise solicits cash or constitutes a solicitation for products or services We retain the right to terminate your receipt, transmission, or other dissemination of such content over the Site and, if appropriate, to remove such content from its systems. We plan to fully assist with any law enforcement officials or agencies investigating any violation of our Terms of Service or any relevant laws.

NO WARRANTIES ARE PROVIDED. WE PROVIDE THE SITE TO YOU “AS IS” WITHOUT ANY WARRANTY OF ANY KIND. YOU AGREE TO ASSUME THE RISK OF ANY AND ALL DAMAGE OR LOSS RESULTING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE. WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL OPERATE WITHOUT INTERRUPTIONS OR ERRORS.

LIABILITY IS LIMITED. OUR RESPONSIBILITY TO YOU IS LIMITED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR LOST DATA, REGARDLESS OF THE FORESEEABILITY OF THOSE DAMAGES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY OTHER MATER This restriction applies whether the damages resulting from a violation of contract, tort, or any other legal theory or form of action.

AFFILIATED SITES. We collaborate with a variety of partners and affiliates, the websites of which may be connected from the Site. We make no claims or guarantees about the accuracy, subject matter, or quality of the information provided by such sites because we have no authority over their content and performance, and we accept no responsibility for any unintended, inappropriate, inaccurate, misleading, or illegal content that may reside on those sites. Likewise, in conjunction with your use of the Site, you may have access to content items (including, but not limited to, websites) controlled by third parties occasionally.You acknowledge and agree that we make no guarantees about, and assume no responsibility for, the accuracy, currency, content, or quality of this third party content, and that, unless expressly provided otherwise, these Terms of Use shall govern your use of any and all third party content.

PROHIBITED USES. The Site is subject to some limits that we apply on your authorized usage. You are forbidden from violating or intending to violate any safety features of the Site, including, without limitation, (a) accessing content or data not aimed for you, or logging onto a server or account that you are not authorized to access; (b) attempting to probe, scan, or test the vulnerability of the Site, or any associated system or network, or breach security or authentication metrics without proper authorization; and (c) interfering with or attempting to interfere with the Site, or any associated system or network. (d) using the Site to send unsolicited e-mail, including but not limited to promotions or adverts for products or services; (e) forging any TCP/IP packet header or any part of the header information in any e-mail or uploading using the Site; or (f) trying to modify, reverse-engineer, decompile, disassemble, and or reduce or attempt to reduce any of the source code used by us in providing the Site to a human-perceivable form. You are also banned from manually or automatically duplicating any material on the Site without our written authorization. Any breach of system or network security may result in legal and/or criminal responsibility.

INDEMNITY. You agree to hold us harmless for certain of your actions and omissions. You agree to indemnify, defend, and hold us harmless from any and all third-party alleges, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) originating from your access or use of the Site, your violation of these Terms of Use, or your infringement, or the infringement of any intellectual property or other rights of any person or entity by any other user of your account. We shall promptly notify you of any such claim, loss, liability, or demand, and will provide you with reasonable help in fighting any such claim, loss, liability, damage, or cost, at your expense.

SEVERABILITY; WAIVER.If a court of competent jurisdiction rules that any term or condition in these Terms of Use is unlawful for any reason, the other terms & conditions will continue in full force and effect. No renunciation of any violation of any condition of these Terms of Use shall constitute a waiver of any previous, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver shall be valid unless given in writing and signed by an authorized representative of the waiving party.

NO LICENSE. Nothing on the Site should be construed as providing you a license to use any of our or any third party’s trademarks, service marks, or designs.

AMENDMENTS. We keep the right to change these Terms and will notify you of such changes by publishing a notice on the Site. The modification becomes effective 30 days after it is posted on the Site. You can reject the changes by unsubscribing from our email list.
